Using financial restatements as the contextual setting, we examine whether the accounting expertise of board committees affects the consequences of financial reporting quality. We analyze both short-term consequences--stock market reactions surrounding restatement announcements, and long-term consequences--the incidence of SEC Accounting and Auditing Enforcement Actions (AAERs), and CEO and CFO turnover after restatements. Our results show that the presence of audit committee members with accounting expertise moderates the consequences of restatements, resulting in less negative stock market reactions and a lower probability of CEO turnover. In contrast, the audit committee's non-accounting financial expertise increases the likelihood of AAERs. For the compensation committee, we find that accounting expertise reduces the probability of CEO turnover, while non-accounting financial expertise exacerbates the negative stock returns around restatement announcements and increases the probability of AAER. In the post Sarbanes Oxley Act (SOX) period, restatements have resulted in less severe consequences while companies have increased their propensity to hire accounting experts. on the board. Correspondingly, we document that the moderating effects of accounting expertise become less significant, in part because the moderating effects are offset by the changed investor expectations. Overall, our results suggest that accounting expertise of board committees helps mitigate the negative consequences of restatements.

This study analyzes the short-term and long-term effects on director commitment and composition of board committees following the passage of the Sarbanes Oxley Act of 2002. The first issue we address in the paper is “director commitment”, i.e., whether corporate directors were more or less committed in terms of time and effort to their “directorship” assignment after the passage of the Sarbanes-Oxley Act. The second issue that will be examined in this study is the composition of board committees (namely, Audit, Compensation, Executive, Governance, and Nominating Committees) before and after Sarbanes-Oxley. The research intends to answer some of the following questions: Has Sarbanes-Oxley changed the boards' structure? Have firms focused more on certain functions of the Board relative to the others after the Act was passed? Using over 124,000 observations in our sample period (covering both pre and post Sarbanes Oxley Act of 2002) from Board Analyst Database, we analyze the trend in each of these variables over time.We run statistical tests to compare the trends in each variable before the Act was passed to the period after it was passed.

This study examines the effects of board experience on firm outcomes. Using the resource-based view of the firm in complement with agency theory and the resource dependence perspective, theory development links the past experience of outside directors' strategic experiences at their home firms with similar strategies pursued by the focal firm. Hypotheses test the effects on both short-term and long-term performance of outside directors' experience with acquisitions by their home firms of the entire assets of target firms. Results generally do not support the notion that acquiring firms benefit through positive post-acquisition performance from the past experience of their outside directors. However, significant results with respect to board international experience and the acquisition experience of the audit committee provide empirical support for the strategic importance of board experience and of board committees and for their potential impact on firm performance. Discussion of the results address limitations of the study and provide some direction for future investigation into the effects of board experience on firm strategic outcomes.
