The Australian Government, together with the governments of the Australian states and territories, is undertaking reform of the law of personal property securities.PPS law in Australia is currently very complex, and varies according to: the location and nature of the collateral; the nature of the security interest; and the legal personality of the debtor. The objectives of PPS reform are to increase legal certainty by increasing consistency and reducing complexity, which should lead to reduced costs. At present, the application of PPS law to a transaction generally depends on the legal form of that transaction. The new PPS system will be based on a functional approach, looking to the substance of a transaction. The intention is that, subject to countervailing policy considerations, all security interests will be treated the same as far as is possible, with all PPS interests registered in one place, and subject to one Act. Several significant policy issues, which will need to be resolved during the development of the new PPS legislation, are identified.

PPS in Practice is a considered and authoritative treatment of the practical operation of the Personal Property Securities Act 2009 (Cth) - and how it applies to ordinary commerce. Authored by commercial lawyers, Nicholas Mirzai and Christopher Athanassios, this innovative and accessible text is designed to assist legal professionals, insolvency practitioners, corporate counsel, accountants, compliance officers, business owners and students to understand which parts of the Act are of most concern for each relevant stakeholder - and in what circumstances. The text is divided into a number of discrete parts addressing both transactional and litigation aspects of the regime and how to establish best practices. Topics covered include how to draft security agreements, how to properly lodge financing statements on the PPSR, the amendment demand process - what it means and how to deal with security interests taken by businesses and against businesses and how to address erroneous registrations, enforcement and litigation. For those with a detailed understanding of the PPSA and its foundational concepts, the text usefully contains a number of annexures which provide precedent language for drafting, checklists to ensure all appropriate steps are being observed and taken (in appropriate circumstances) and examples of template correspondence from the perspective of experienced practitioners.

Secured transactions law has been subjected to a close scrutiny over the last two decades. One of the main reasons for this is the importance of availability of credit and the consequent need to reform collateral laws in order to improve access to finance. The ability to give security effectively influences not only the cost of credit but also, in some cases, whether credit will be available at all. This requires rules that are transparent and readily accessible to non-lawyers as well as rules that recognise the needs of small and medium-sized enterprises. This book critically engages with the challenges posed by inefficient secured credit laws. It offers a comparative analysis of the reasons and the needs for a secured transactions law reform, as well as discussion of the steps taken in many common law, civil law and mixed law jurisdictions. The book, written under the auspices of the Secured Transactions Law Reform Project, informs the debate about reform and advances novel arguments written by world renowned experts that will build upon the existing literature, and as such will be of interest to academics, legal practitioners and the judiciary involved in secured transactions law around the world. The text considers reform initiatives that have taken place up to the end of April 2016. It has not been possible to incorporate events since then into the discussion. However, notable developments include the banks decree passed by the Italian Government on 29th June 2016, and the adoption of the Model Law on Secured Transactions by UNCITRAL on 1st July 2016.

The intention is that, subject to countervailing policy considerations, all security interests will be treated the same as far as is possible, with all PPS interests registered in one place, and subject to one Act. If security interests in ships are treated as not being an exception to this approach, then those interests would be registrable on the new PPS register only, and not on the shipping register.

Almost ten years have elapsed since the revised edition of "PPSA a conceptual approach" was published. Both the first edition and the revised edition were published prior to the time the PPSA came into force in New Zealand in May 2002. As a result, the book does not include references to any New Zealand case law. Therefore, the primary purpose in writing a new edition is to include commentary and references to relevant New Zealand case law. In addition, the new edition will also include commentary and references to relevant Canadian case law that has arisen since 2002. A substantial body of case law has developed since 2002. Australia has also enacted a PPSA which is scheduled to come into force in early 2012. The new edition of the book will also include some reference to Australian legislation for comparative purposes and to the extent it contributes to the discussion on issues arising in New Zealand. In my view, an updated edition of the book will appeal to the New Zealand market as well as the Australian market (although please see the market research info at 11 below). This book's unique selling point is its conceptual approach rather than the section by section analysis and commentary which prevails in other publications dealing with the PPSA as a subject matter. The conceptual approach brings relevant issues together which is helpful. Several practitioners in Australia have commented that due to the conceptual approach, they recommend this book as the book to start with when learning about the changes brought by the PPSA. The structure of the current text is unlikely to change as the developments in the law will generally be accommodated within the existing chapters. However there are some emerging issues that might be dealt with better in separate chapters, so additional chapters may be included.
