The third edition of Law of International Business Transactions moves beyond the area of arms-length sale of goods to deal with other strategies used by traders to penetrate foreign markets. The author discusses structures for doing business overseas including agency, distributorship, licensing, franchise, joint venture, and wholly-owned subsidiary against the background of the expanding opportunities for market penetration provided by the WTO Agreements covering services, intellectual property, and investment measures. The book also highlights curbs on host government controls over foreign investment found in bilateral investment protection agreements and free trade area and common market agreements. Burnett has continued the acknowledged excellence, insight, and practicality of the previous editions.

There are many guides to the conduct of international business transactions, but none as comprehensive and detailed as this. It clearly identifies in great depth the many sources of risk in cross-border transactions, analyzes the legal instruments that provide protection to the parties, and describes the practical means--institutional, purchased, and negotiated--of reducing, reallocating, and perhaps even eliminating risks. Each chapter covers a distinct element of risk, with insightful commentary on the relevant national, regional, and international laws and detailed analyses of leading and defining cases from many jurisdictions and international courts, as well as considerations of significant scholarly contributions and guidance through insurance options and matters for negotiation. Beginning with the entry-level commercial transaction and letter of credit financing, the author moves through issues of commercial law, dispute resolution, sovereign involvement, public international law, antitrust law, and taxation. Along the way, he highlights types of transaction to which host country law has special application. The crucial issues of jurisdiction, choice of forum in dispute resolution, recognition and enforcement of judgments, foreign currency judgments, and defenses against claims of sovereign immunity all arise in context with detailed critical analysis and commentary. Other matters covered include the commercial and political risk insurance provided by such US agencies as the Export-Import Bank and the Overseas Private Investment Corporation (OPIC), and the protection for investors offered by the International Centre for Settlement of Investment Disputes (ICSID), and the draft Multilateral Treaty on Investment (MAI).

As suggested by its title, this e-book presents student-oriented materials focused on legal issues common to international business transactions. With an emphasis on sales of goods and services, the materials review international transactions from both the private law and governmental regulatory perspectives, domestic and international. Several features of the book distinguish it as a teaching tool from more traditional law school offerings. First, the book is offered in an electronic format which is designed to make extensive use of web-based resources. Among other advantages, this format (1) provides much cheaper, flexible and more accessible learning materials for students; (2) takes advantage of the excellent web-based resources that students are accustomed to using, including multi-media content; and (3) creates a flexible framework that allows professors to adapt, improve or otherwise modify content to suit their needs during successive iterations of the course. Second, the materials and format are designed to encourage students to take a more active role in their learning with an emphasis on skills building. Each chapter presents a problem and typically asks students to address legal issues as a practicing lawyer would, working through primary materials — cases, statutes and treaty texts. Third, the materials are written and prepared for the uninitiated and uninformed. Basic background explanations are always provided and all questions posed in the text are meant to be answered by the students — there are no abstract, obtuse or unanswerable questions set out in the materials. With guidance from their instructor, students are required to examine the material provided not only to learn the relevant law but also to build the essential skills of effective lawyering.
