Excerpt from Proceedings of the Annual Meeting of Stockholders of the Western North-Carolina Railroad Company: With the Reports of the Officers, 1858 Whereupon E. J. Erwin, Esq., on behalf of the Committee on Proxies, reported, that 141 Stockholders holding 1138 shares of stock were represented by Proxies, and 69 Stock holders holding 3181 shares were personally in attendance, which report was received and adopted; and it appearing from said Report that the requisite number of Stockholders, holding a majority of the stock subscribed by individuals, were present in person and by proxy, the Chairman declared the meeting duly organized and ready for the transaction of busi ness. Barges S. Gaither, Esq., presented credentials authorizing and empowering him to act as the proxy and representative of the State of north-carolina, which were duly received, and he was allowed to take his seat in the meeting accordingly. Excerpt from Proceedings of the Annual Meeting of Stockholders of the Western North Carolina Rail Road Company: Held in Salisbury, August 25-26, 1859 Resolved, That the amendments proposed to the Charter of our Com pany, as embodied in an act of the General Assembly, passed at the late Session of 1858 entitled An act to amend an act entitled an act. To incorporate the Western North Carolina Rail Road Company, passed at the session 1854 and also an act amendatory thereof, passed at the session of 1856 be, and the same are hereby, accepted. Resolved, That the Board of Directors notify the Board of Internal Improvements of the acceptance by this Company of said amendments, and that the Board of Internal Improvements be requested to make immediate provision for paying the expenses of the surveys directed by said act out of the Public Treasury, as part of the already appropriated by the State, to the end that a corps of Engineers may be organised and the surveys commenced at the earliest practicable moment. Excerpt from Proceedings of the Annual Meeting of Stockholders of the Western North Carolina: Railroad Company With the Reports of the Officers, 1861 A question arose as to the right and propriety of John I. Shaver to vote as proxy for Col. C. F. Fisher. Upon motion of W. F. McKesson, Mr. Shaver was allowed, upon the unanimous voice of the meeting, to vote the stock of Mr. Fisher. Upon motion, the stockholders proceeded to the election of directors, and the chair appointed C. A, Carlton, J. J. Bru-ucr and R. C. Pearson to superintend the ballots. Mr. Shaver nominated for director, Anderson Ellis; W. P. Caldwell nominated R. A. Caldwell; Jas. E. Kerr nominated Otho Gillespie; C. S. Sumner nominated 0. G. Foard; nominated T. A. Allcin; R. C. Pearson nominated T, G. Walton. Directors elected-0. Gillespie, J. Cline, A. Ellis and R. A. Caldwell. W. F. McKesson and Dr. John McDowell were appointed a committee to verify proxies at the next annual meeting at Morganton. Also, moved and adopted, that the old Finance Committee be continued. Moved by Maj. Kerr, that 300 copies of the proceedings of the meeting be printed for the use of stockholders. Adopted. On motion of R. C. Pearson, the thanks of this meeting were tendered to the Chairman and Secretaries for the able and dignified manner in which they discharged their duties.
