Las personas morales llevan a cabo los actos necesarios para su existencia y operación a través de personas físicas que las representan y que son llamadas administradores. Pero, ¿que sucede cuando derivado de su actuar, estos administradores causan daños o perjuicios al ente social, a los socios o a los acreedores sociales?, surge entonces la necesidad de determinar la responsabilidad civil a que pudieren encontrarse sujetos los administradores societarios y en que supuestos los afectados tendrán acción judicial para buscar la reparación del daño causado, ya que en principio, cuando aquellos actúan en nombre y por cuenta de la sociedad, es ésta la principal obligada, sin embargo, existen casos en que la responsabilidad no podrá ser imputada al ente social sino al elemento subjetivo del órgano de administración, es decir, a los propios administradores. Aunado a lo anterior, es de considerarse que la figura de la Sociedad Anónima prevista por la Ley General de Sociedades Mercantiles, es el tipo societario más recurrido por todo tipo de empresas, ya que da cobijo lo mismo a pequeñas corporaciones familiares que a grandes empresas transnacionales. A razón de lo anterior, en la presente investigación se aborda el tema de las acciones de responsabilidad civil en contra de los administradores desde el régimen previsto en nuestro sistema jurídico para la Sociedad Anónima tradicional.
